Terms of Agreement

Welcome to MyAgencyPAL, the world’s leading model talent management software. By using MyAgencyPAL software (“the Software”), you expressly agree to be bound by the following terms and conditions. Should you disagree with any of these terms, we kindly ask you to refrain from using the Software.

Governing Law and Jurisdiction

The terms of this agreement are governed by the provincial laws of Ontario and the federal laws of Canada. A dispute arising out of or relating to this agreement will be subject to the exclusive jurisdiction of the courts of Ontario, Canada.

Indemnification

By using MyAgencyPAL, you agree to release, indemnify, and hold harmless MyAgencyPAL, its affiliates, partners, employees, agents, suppliers, and licensors from all claims arising from your use of the software. This includes, but is not limited to, claims relating to:

  • Violation of these terms and conditions.
  • Violation of applicable laws, regulations, or third-party rights.
  • Using or misusing the software.
  • You are responsible for any content or information you submit, post, or transmit through the Software.

This indemnification extends to any legal fees, costs, and expenses incurred by MyAgencyPAL in connection with such claims.

Modification of Terms

MyAgencyPAL reserves the right to modify these terms at any time without prior notice. Continued use of the Software after any changes constitutes your acceptance of the new terms.

Third-party software: Definition and Usage

As part of your MyAgencyPAL experience, you may have access to certain software, widgets, or other applications (“Software”) developed, owned, or licensed by third parties. You may be subject to additional terms and conditions when using this software. Your use of the Software is subject to the terms of the third-party license agreement, in addition to this Service Agreement.

As part of our Services, you may use the Software. You are requested not to remove, modify, or obscure any copyright, trademark, or other proprietary rights notices present in or on the Software. Furthermore, you should not sell, modify, repurpose, reverse engineer, decompile, disassemble, reverse compile, create derivative works, or attempt to derive the source code from the Software.

In order to provide third-party solutions, we may share your personal information with third-party providers, affiliates, and partners. At any time, MyAgencyPAL may modify, change, or discontinue the provision of the Software.

No representations or warranties are made regarding third-party software linked to our software, and we explicitly disclaim any liability for such software.

You agree to indemnify, defend, and hold harmless MyAgencyPAL from any claims arising from your use or misuse of third-party software.

Warranty limitations

There is no warranty, representation, or promise made by us that is not expressly stated in this Agreement. We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and noninfringement. We do not guarantee that the provided Software or Service is without defect or error or that licensed Software will operate uninterrupted or error-free.

Limitation on Liability

It is agreed that our total liability under this Agreement, including any licensed Software, maintenance, support, or other services provided to you, will not exceed the total of the fees received from you. Amounts exceeding the stated limit will not be liable in any case, including contract, warranty, tort, malpractice, and/or other forms of action.

Data Migration and Termination

Data migration is not a service provided by MyAgencyPAL; it is the responsibility of the customer. Depending on the scope, migration can be discussed at an additional cost.

After a 30-day period following cancellation or termination, MyAgencyPAL is not obligated to maintain or provide Customer Data. All copies of Customer Data will be deleted or destroyed unless prohibited by law. We do not transfer or FTP your content to another provider or website. In the event that you do not move your content before cancellation, we will delete it, and we will not be able to provide a copy.

Termination

MyAgencyPAL retains the right to terminate or suspend your access to the Software at its sole discretion, without notice. This is for any reason, including but not limited to a breach of these terms.
